Terms of Service
These terms are an agreement between you and Eternum Capital FZE LLC ("PostWharf", "we"), a Free Zone Entity registered in Ajman Free Zone, United Arab Emirates under licence and registration number 2629413327888, at 26th Floor, Amber Gem Tower, Ajman, United Arab Emirates. By creating an account or using the service you accept them. If you do not accept them, do not use PostWharf.
1. What the service does
PostWharf lets you connect social media accounts you control, compose content once, and publish or schedule it to those accounts. We act on your instruction. We do not create content on your behalf without your action, and we do not post anything you have not queued or approved.
2. Your account
- You must be at least 16 years old and able to enter a contract.
- You are responsible for keeping your credentials secure and for everything done through your account.
- You must give accurate registration information and keep it current.
- Tell us promptly at [email protected] if you suspect unauthorised access.
3. Connected accounts
You may only connect accounts you own or are authorised to manage. By connecting one you confirm you have that authority, and you authorise PostWharf to publish to it on your instruction.
Each network has its own terms, and your use of PostWharf does not relieve you of them. You remain bound by the TikTok Terms of Service, the Meta Terms of Service, the LinkedIn User Agreement, the YouTube Terms of Service, the X Terms of Service and any other network you connect. If a network suspends, rate-limits or removes your account or your content, that is between you and that network — we cannot reverse it.
4. Your content
You keep all ownership of everything you upload. You grant us a limited, non-exclusive licence to store, process, reformat and transmit it strictly for the purpose of publishing it to the channels you select — for example resizing a video for a vertical feed. That licence ends when you delete the content or your account.
5. Acceptable use
You may not use PostWharf to:
- Post content that is unlawful, defamatory, harassing, hateful, or that sexualises minors.
- Infringe anyone's copyright, trademark, privacy or publicity rights.
- Send spam, run engagement farms, operate undisclosed bot networks, or coordinate inauthentic behaviour.
- Impersonate any person or organisation, or misrepresent your affiliation with one.
- Circumvent a network's rate limits, access controls or automation rules.
- Publish to accounts you do not own or lack authority to manage.
- Reverse engineer the service, or resell access to it without a written agreement with us.
We may suspend or terminate an account that breaches this section, with or without notice where the breach is serious or ongoing.
6. Availability
We work to keep PostWharf running but do not guarantee uninterrupted service. Publishing depends on third-party APIs we do not control: networks change endpoints, expire tokens, impose quotas and reject content on their own criteria. A failed publish caused by a network is not a failure of these terms. Where a post fails we will retry it and surface the failure to you.
7. Fees
Paid plans are billed in advance on the cycle shown at checkout and renew automatically until cancelled. You may cancel at any time and retain access to the end of the paid period. Fees already paid are non-refundable except where required by law. We will give at least 30 days' notice by email before a price change.
8. Termination
You may delete your account at any time from Settings. We may terminate or suspend access for breach of these terms, for non-payment, or if required by law or by a platform partner. On termination your data is deleted as described in the Privacy Policy.
9. Disclaimers
To the fullest extent permitted by law, the service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will meet your requirements or that publishing will always succeed.
10. Limitation of liability
To the fullest extent permitted by law, PostWharf is not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data, goodwill, reach or engagement. Our total aggregate liability for any claim is limited to the greater of the amount you paid us in the twelve months before the claim, or USD 100. Nothing here limits liability that cannot be limited by law.
11. Indemnity
You will indemnify PostWharf against claims arising from content you publish through the service, your breach of these terms, or your violation of a network's terms or of anyone's rights.
12. Changes
We may update these terms. Material changes will be emailed to account holders at least 14 days before taking effect. Continued use after that constitutes acceptance.
13. Governing law
These terms are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Ajman, and the courts of the Emirate of Ajman have exclusive jurisdiction over any dispute, without regard to conflict of law rules.
